Holders of mining liquidity in the form of $BTCMT hashrate tokens not only receive the best project mining capacities and earn daily mining rewards in bitcoins, but also are part of the DAO by participating in project development through community voting, and, e.g., making decisions on the allocation of funds from the Treasury savings fund. # Minto's Mission **Our mission** (goal) is to make the mining capacity hashrate a globally accessible, highly liquid and productive asset, so that everyone can easily protect and increase their capital by getting convenient access to bitcoin mining. # What Problem Does Minto Solve? In terms of this concept, Minto strives to tokenize all available mining power of its own data centers with the prospect of becoming the first mining company to fully digitize (tokenize) its own business in DeFi. In other words, while in TradFi, corporatization of a company means attracting investments by transferring its ownership to shareholders through an IPO with the prospect of regular dividend payments, in DeFi, the best analogue of an IPO is the tokenization of the basic RWA (Real World Asset) followed by distribution of the issue among key investors and a token free float in the form of appropriate liquidity on cryptocurrency exchanges. DeFi allows the project to implement mechanisms for decentralized management and decision-making (governance) based on the DAO principles, and also pay out DAILY mining rewards by analogy with annual dividends of joint-stock companies (where the payment of dividends is usually described as an opportunity, but is by no means guaranteed). Thus, the Minto project is a high-tech web3 business based on the DAO principles and a powerful mining infrastructure, the administration of which has been moved into DeFi thanks to an innovative solution, i.e., the Minto RWA protocol\*.
# What sets Minto apart from other tokenization projects? What is the difference between Minto and other cloud mining and tokenization projects? Many have tried to offer cloud mining and tokenize the hashrate before Minto, but almost all have faced significant problems with profitability and liquidity. Relying on a constantly improving **mining infrastructure**, Minto overcomes the typical problems of individual and cloud mining, offering its users a fundamentally stable and completely transparent mining solution that has confirmed its viability throughout many market cycles.

For instance, the creation of the **Treasury** allows the community to flexibly use the accumulated revenue through voting, promptly funneling it to develop the project in favorable market conditions, or, conversely, to limit the impact of market negativity. Initially, 5,000,000 $BTCMT were issued, which corresponds to 50 PH/s of the tokenized project hashrate. 90% of the tokens were offered in the presale, after which the remaining ones became available in the open market. As the new project mining capacities are tokenized, the number of $BTCMT issued into circulation is also growing.
# The Hashrate Tokenization Mechanics A token can only be issued if equivalent Bitcoin mining power has been purchased by the Minto project or transferred to the project. Miners transfer mining power to the project in exchange for new $BTCMT issued. Any miner can transfer their mining power to the project if certain conditions are met: 1) proof of legality and ownership of the given mining capacity; 2) the equipment producing the mining capacity is in data centers that pass the project’s inspection; 3) the size of the transferred mining capacity is not less than 10 PH/s. The Minto project can acquire mining capacity by raising capital or using retained earnings. Tokens issued as part of the project's acquisition of mining capacity will be owned by the project itself. As part of the transfer or acquisition of mining capacity, the number of TH/s units will be at least equal to the number of new tokens issued. The project aims to flexibly maintain the best energy efficiency based on the current mining hardware capabilities, provided that the overall project energy efficiency cannot be higher than the baseline level of 60 W/TH. Equipment of any capacity can be installed in the Temporary Pool, except for outdated models with energy efficiency above 60 W/TH. For example, the project has 55 PH/s of mining capacity with an energy efficiency of 60 W/TH. If 15 PH/s of mining capacity with the energy efficiency of 30 W/TH is added to the Temporary Pool, then the overall project energy efficiency will be about 53.5 W/TH. Since the baseline level of 60 W/TH is not exceeded, the project, with the consent of the owners of the mining capacity, will move all of the capacity to the project Tokenized Pool and issue 1 $BTCMT for every 0.01 TH/s added. The project team will notify the token holders and the community about the successful hashrate addition on the website, blog and social networks. The total number of tokens in circulation must generate at least that amount of mining power, the equivalent of which all tokens in circulation represent. As described later, our partner mining pool will act as an independent auditor and periodically publish reports confirming that $BTCMT is fully supplied with mining capacity. For example, if the blockchain shows that there are 1,500,000.00 tokens in circulation, then the project must have a Bitcoin mining capacity of at least 15,000.00 TH/s.
# Reward Distribution $BTCMT receives rewards from bitcoin mining centrally and distributes rewards to holders in a decentralized manner. The Minto project has a partnership with a reputable mining pool (F2Pool) one of the 3 largest pools in the world, where it receives rewards from bitcoin mining. The project will allocate all of its mining power to that pool in exchange for the rewards from mining, which will be calculated and distributed by the pool. Based on worldwide mining statistics, the project calculates that the downtime of mining facilities may be up to 8% per year. The centralization of this step is necessary to ensure accountability and efficiency: the mining pool will act as an independent service provider and auditor, monitoring the sufficiency of the project’s mining capacity. The rewards distribution process is divided into two parts, where the reward is pegged to the token standard 1 $BTCMT = 0.01 TH/s, and the retained earnings are sent to the Treasury for further joint management using voting on the Governance portal.
A portion of the pool's accrued rewards will be sold in the marketplace to cover the project's daily operating and energy costs. The standard loss of energy efficiency in the industry is 3%. The formula for determining the daily costs of the project is: **Daily costs = HR e. efficiency\* х Electricity price х Hashrate х 24 х 1.03**
The execution price and daily sale amount will be verified and published by the Minto project and certified by the mining pool. The remaining bitcoin mining bounty attributable to the mining capacity deposited in the project's dApp will be sent by the project and the mining pool jointly to the dApp for distribution to owners. The project provides a motivation program for early investors who have staked tokens. If the total mining capacity of tokens staked is less than or equal to 80% of the total active mining capacity, then the owners of staked mining capacity will receive a proportional distribution of the total bitcoin mining reward. The dApp will accumulate an amount in bitcoin, which the owner is entitled to withdraw, for each continuous day of token staking (UTC 00:00). The calculation and distribution of rewards in bitcoin will be done transparently and decentralized by the dApp. The owner can withdraw their bitcoin at any time, either in full or in part. For example, if the owner stakes 1,000 $BTCMT in the dApp for a full day, then on the second day the owner will receive distributed mined bitcoin according to the amount of mining power equivalent to the number of tokens mined (10 TH/s). Like traditional mining, the exact amount of bitcoin mined per unit of mining power will change daily because of the total hashrate of the Bitcoin network, the difficulty of the Bitcoin network, and the bitcoin exchange rate relative to energy costs.
# Treasury The creation of the Treasury allows the community to flexibly use the accumulated revenue through voting in accordance with the DAO principles, promptly funneling it to develop the project in favorable market conditions, or, conversely, to limit the impact of market negativity, e.g.: * Increasing the multiplier. We will be able to jointly set the multiplier level for contracts, determining how much money from the Treasury to allocate for this purpose each month. * Purchase of new miners. We will be able to use the funds accumulated in the Treasury to purchase new miners with better energy efficiency and increase the overall project hashrate. * $BTCMT purchase program. We will be able to use the Treasury funds to buy back $BTCMT from the secondary market. * Infrastructure development. We will be able to direct part of the funds to the development of the project infrastructure, the creation of new products and the construction of mining farms. Treasury deployed in collaboration with Safe Global on the Ethereum blockchain, ensuring a high level of reliability. Treasury is managed on the basis of a multisig smart contract with 5 private keys as a multiple signature, which is managed on the basis of the [Whitepaper](https://files.minto.finance/MintoWhitepaper.pdf). In the future, we plan to assign 2 private keys to Delegates who will represent the community and independently put forward new initiatives for voting.
# Joint Treasury Management Mechanics **Introduction** This document contains the general principles of Minto Treasury management. It includes approaches and recommendations to ensure responsible and effective management of Minto resources. 1. **Roles and responsibilities** **Objective**: To determine who will manage the Treasury, what their powers and responsibilities are. An Investment Committee is being formed to manage Minto Treasury. The Investment Committee comprises 5 members who are elected by voting. Each Investment Committee member holds one of the 5 private keys as a multiple signature from the Minto Treasury. The initial board of the Investment Committee is formed from the current key holders according to the Whitepaper. Any Minto holder can nominate their own or someone else's candidacy to the Investment Committee, subject to the minimum requirements. The main responsibilities of the Investment Committee members are: * Defining a long- and short-term investment strategy * Treasury funds management according to agreed investment strategies * Budget preparation and approval * Monitoring budget implementation * Reports preparation and publication 2. **Treasury management rules** **Objective**: To develop rules for Treasury funds management, conditions for funds allocation, criteria for investments. Minto Treasury funds are managed through long- and short-term investment strategies by voting on the portal. The Investment Committee forms and submits investment strategies to Minto holders for approval. A long-term strategy is formed for a period of at least 1 calendar year, a short-term strategy is formed on a monthly or quarterly basis. If it is necessary to make adjustments to the strategy, the Investment Committee initiates a new vote, justifying the need to make the proposed adjustments. Investment decisions require the mandatory approval of a simple majority of the Investment Committee. The distribution of Minto Treasury funds takes place on a monthly basis by voting on the portal. With regard to the long-term and short-term strategies agreed upon by Minto holders, the Investment Committee comes forward with a plan for the distribution of Treasury funds on a monthly basis, no later than 7 working days after the beginning of the next month. The final decision and approval of the proposed plan is carried out by a general vote on the portal. The threshold for making decisions on funds allocation is a simple majority (more than 50% of the votes) for one of the selected options in the voting. If the vote is not approved by a simple majority, the funds received during the previous period remain in the Treasury, and the vote is considered completed. 3. **Transparency and accountability** **Objective**: To develop a reporting system that provides full transparency of Minto Treasury funds management for all interested parties, including, e.g., regular reports, audits, and the implementation of blockchain tools for tracking transactions. To ensure transparency and accountability, a reporting system is being formed as part of Minto Treasury management activities, consisting of the following documents: 1. # Mining Profitability Management Mechanics The electricity cost for Minto mining data centers is a non-constant value, which strongly depends on the load in a particular power grid, varying on a day-to-day basis. Therefore, under unfavorable market conditions, a situation may arise when mining becomes unprofitable. In order to avoid a negative financial result, the Minto protocol uses an intelligent algorithm for regulating mining equipment uptime, or so-called **Low Power Mode** (65% uptime). In this mode, when the load on the power grid is increased and the electricity cost is maximum, Minto puts the miners into idle mode according to the power grid schedule. Thus, the average uptime of mining equipment can be about 65%, that is, miners work only during those hours when bitcoin mining is at a break-even point (65% of the total mining time). This approach allows the Minto project to maintain profitability even in the most unfavorable conditions at the cost of reducing revenue, on the one hand, and on the other - despite the decrease in mining rewards, to have a competitive advantage over most mining companies forced to work even at a loss, e.g., in order to make payments on loans used to purchase mining equipment. Minto has a clear advantage over many, especially overdebted, mining companies, since it develops exclusively at the expense of its own funds and token sale revenue, and in addition, when the situation requires it, it can effectively manage its profitability using the **Low Power Mode** by periodically reducing electricity costs. The decision to switch to the Low Power Mode is made by the Minto community through voting, where each $BTCMT is equal to one vote that can be cast in favor or against the decision being made. The Low Power Mode is introduced for a period of at least six months, since the price environment has significant inertia and cannot influence the situation in the short term.

# Staking and Autofarm
Staking tokens is a standard procedure common to many DeFi projects, however, in the Minto protocol, $BTCMT staking launches bitcoin mining in favor of token holders using corresponding physical mining capacities with daily rewards in bitcoins. In addition to manual staking, the Minto protocol offers Autofarm with automatic accrual of compound interest of mining rewards. When choosing Autofarm, each user's daily reward is automatically converted into $BTCMT and staked using the appropriate smart contract, as a result of which the user earns compound interest and enjoys increased profitability. # Risk Disclosure Since Bitcoin's creation, mining has been profitable when viewed as a whole. The profitability of individual miner models or the Minto token is less obvious. The risks associated with Bitcoin mining are applicable to this project, since mining power is the basic unit of token collateral, though tokenization itself entails additional risks. Risks in mining are typically associated with the blockchain protocol and network, including instability, congestion, high transaction fees, network latency, and increasing network difficulty. Such risks can result in delayed or failed transaction processing, and affect the final reward per unit of mining capacity, reducing it to a level where profits cannot be made. In addition, among other risks, there are risks associated with the token, which may arise due to the presence of vulnerabilities or bugs in the dApp application, as well as attacks aimed at harming the Project, which may result in loss of rewards or make the receipt of rewards unavailable. There are a number of external risks that we can minimize, but have no control over: * Risks of damage to the mining equipment or its complete failure, which will affect final mining capacity (including as a result of floods, fires, earthquakes, war, coups, and other events, collectively referred to as Force Majeure); * Risks of damage to the mining site and infrastructure that would slow down the development of the project or affect the project’s final mining capacity (again including as a result of Force Majeure); * Risks associated with unilateral increases in electricity rates from government suppliers or material changes in the contract by suppliers. The BTCMT token, including staked BTCMT, empowers their holders to collectively govern the Minto Protocol by enabling them to vote and submit proposals. **Proposal introduction and discussion** The first step in the governance process is to introduce a proposal to the community. Minto’s official Telegram and Discord channels serve as the primary platforms for discussing proposals. Any member of the Minto community or team can propose an idea and receive feedback from the community on these platforms. **DAO** Minto governance votes are conducted on the DAO section in Minto Dapp, where Minto holders and stakers can express their support for governance proposals. Anyone with voting power greater than 10,000 BTCMT can initiate a DAO vote. A DAO-proposal should include an English-language description of the proposal's purpose, the specific details of the proposed changes and allow for three voting options: “For”, “Against” or “Abstain”. Proposals that require the purchase of new miners or any other actions that would affect mining power (total Minto TH/s) should include the following information: * expected change in Minto’s total mining power; * expected change in BTCMT supply and the recipients of newly minted BTCMT tokens (if applicable); * expected improvements in Minto's energy efficiency. For a proposal to pass, the following quorum and voting requirements must be met: 1. Quorum. The proposal must receive a minimum of 500,000 votes (500,000 BTCMT); 2. Approval. Once the quorum is reached, the proposal requires a simple majority (>50%) of “Yes” votes among all votes to pass. Voting begins 24 hours after a proposal is submitted on the DAO section and lasts for 3 days (72 hours). If the idea is supported, the admin adds it manually to the main voting space on behalf of Minto. **Publication** The results of DAO vote, along with an implementation report, are published on Minto's official channels: in Telegram and Discord channels, and Minto Blog. **Execution/Implementation** A successful proposal will be executed after an execution delay of 7 days. Depending on the nature of the vote, it may require an action from the multisig. Refer to the Multisig section to see the individuals currently responsible for organizing the on-chain execution of governance. Proposals that do not require any on-chain actions are executed by the Minto team. **Multisig** Governance is managed through a single multisignature wallet, which is currently owned by a group of respected community members. Any BTCMT holder can nominate themselves or another individual to become a multisig signer. The role of the multisig is to enact and execute on-chain the decisions made by BTCMT holders via off-chain voting, as well as to assist community members in the governance process. The Minto multisig, which has the ability to alter protocol operations or access treasury funds, requires 3 signers to authorize transactions. The signer structure of the multisig may change if approved through the governance process.

Additionally, whenever the use of Trackers is based on consent, Users can provide or withdraw such consent by setting their preferences within the cookie notice or by updating such preferences accordingly via the relevant consent-preferences widget, if available. It is also possible, via relevant browser or device features, to delete previously stored Trackers, including those used to remember the User’s initial consent.
